1. Site and Policies

During the defined Term, TutorHan agrees to use commercially reasonable efforts to provide the Services, subject to this Agreement and any posted Policies (including anti-spam, privacy, and prohibited content policies, all incorporated by reference). TutorHan may modify this Agreement or the Policies, with changes taking effect upon posting. Your continued use constitutes acceptance. Conflicts between the Agreement and a Policy are resolved in favor of the Agreement. You acknowledge that purchasing Services is neither contingent upon the delivery of any future functionality or features.

2. Fees and Payment

You agree to pay subscription fees as listed on the Plans page. Payment is due immediately upon invoice, may be pre-paid, or follows the applicable Sales Order terms. All fees include applicable taxes.

Refund Policy

• Direct Purchases: A 7-day money-back guarantee applies to initial purchases made directly through tutorhan.com. Refund requests must be emailed to hello@tutorhan.com within 7 days of the initial payment.
• Subscription Renewals: Refunds are not issued for subscription renewals.
• Apple App Store Payments: Purchases via Apple must be refunded through Apple’s process at reportaproblem.apple.com; TutorHan cannot process those refunds.

Automatic Renewals: Subscriptions auto-renew for equal terms at the same rate, with you authorizing TutorHan to charge the payment method without further action.

Lifetime Learner Plan: This limited-offer plan provides access to services available at purchase time for as long as those services are supported. TutorHan makes no warranty as to their expected lifetime and may discontinue or change offerings at any time.

3. Customer Information

TutorHan collects personal and business-related information (contact details, payment info) to deliver Services and support. By activating an account, you expressly consent to receive marketing communications via email as well as by telephone, pre-recorded messages, text messages, and instant messages, using the contact information provided at activation.

4. Data Disclosures

TutorHan does not disclose, sell, or rent Customer Data without consent or legal compulsion. However, you expressly permit disclosure to: (i) TutorHan personnel managing the Data; (ii) service providers supporting the Services and customer accounts; and (iii) marketing partners through whom the Services were purchased. TutorHan commits to using commercially reasonable efforts to prevent third-party recipients from selling or redistributing Data without authorization.

5. Passwords

TutorHan will email user-IDs and passwords to the designated email address. You must keep Passwords confidential and not share them with any third party. Loss or compromise must be promptly reported, and you bear sole responsibility for all actions and fees incurred as a result of such incident stemming from your negligence or intentional misconduct. Unauthorized Password use constitutes a material breach.

6. Third Party Products and Services

Third parties may offer related products and services. Any interaction, data exchange, or purchase between you and a third party is solely between those two parties. TutorHan makes no representations, warranties, or guarantees about any third party or their offerings, even if recommended by TutorHan. You acknowledge TutorHan specifically does not warrant the accuracy, reliability or completeness of third-party data and releases TutorHan from all related claims and liabilities.

7. Open Source Software

Certain open source code may be incorporated into the Service. Except as provided in applicable source code licenses, such Source Code is provided “as is” and without representation or warranty of any kind. You release TutorHan from all claims and liabilities arising from the Source Code.

8. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without any representation or warranty. To the maximum extent permitted by law, TutorHan and its Representatives disclaim all express or implied warranties, including merchantability, fitness for a particular purpose or use, title, or non-infringement. No warranty is given that Services will meet your requirements or regarding results obtained through use.

9. Limitation of Liability

TutorHan and its Representatives shall not be liable for any special, direct, indirect, incidental, exemplary, consequential, or punitive damages arising from the Services or Agreement, including loss of data, use, or profits—even if advised of such possibility. Total cumulative liability is capped at the actual fees you paid to TutorHan for the Services during the twelve (12) month period ending on the cause-of-action date. No claim may be asserted more than twelve months after the underlying cause of action arose. The sole and exclusive remedy for non-provision of Services is commercially reasonable efforts to repair or provide them.

10. Indemnification

You agree to indemnify and hold harmless TutorHan, its Representatives, and their respective affiliates, officers, directors, employees, and others from claims arising from: (i) your acts or omissions; (ii) violation of law; (iii) breach of any Agreement term or Policy; (iv) breach of representations/warranties; and/or (v) infringement or misappropriation of intellectual property or other rights.

11. Governing Law

The Agreement is governed by California law, applied as though the agreement were entered into and performed entirely within the State of California, excluding conflict-of-law rules that would apply another jurisdiction’s laws. The UN Convention on Contracts for the International Sale of Goods does not apply.

12. Arbitration

Any dispute arising under this Agreement shall be resolved by binding arbitration under AAA commercial rules before a single arbitrator in Los Angeles, California. If parties cannot agree on an arbitrator within ten days, each designates one arbitrator, and those two select a third to conduct the arbitration. The decision is binding and conclusive. TutorHan retains the right to seek injunctive or equitable relief in California courts, to which jurisdiction you irrevocably consent.

13. Relationship

The Agreement creates no partnership, joint venture, or agency relationship. You have no right or authority to act as TutorHan’s legal representative.

14. Assignment

You may not transfer, assign, sublicense, or delegate any rights or duties without TutorHan’s express written consent. Any unauthorized attempt is null and void.

15. Severability

If any portion is found illegal, invalid, or unenforceable, such portion will not affect or impair the legality, validity or enforceability of the remaining provisions.

16. Survival

Provisions that by their nature and context are intended to survive will survive performance and termination of the Agreement.

17. Entire Agreement

The Agreement, Policies, and any Statements of Work constitute the complete understanding, superseding all prior agreements and proposals—except prior confidentiality agreements, which continue in effect.

18. No Waivers

Failure to exercise any right does not constitute a waiver or forfeiture of that right or of any prior or subsequent breach.

19. Miscellaneous

The Agreement may only be amended or modified by TutorHan, not by course of conduct. Section headings are for convenience only with no legal effect. There are no intended third-party beneficiaries. By using our Services, you signify that you have read, understand, and agree to be bound by these terms.
